Who can sign?

Who can sign for a Polish company? Check the KRS rule and the relevant people.

Review the KRS representation rule, management-board members and proxies. Before signing an important document, verify the current KRS extract and any conditions relevant to the specific transaction.

Representation rule

The original representation wording disclosed in KRS.

People in the company

Management-board members, proxies and their recorded roles.

Possible signer combinations

People and combinations that fit the interpreted representation rule.

Additional conditions

Transaction thresholds, proxy type and other conditions stated in KRS.

How to read KRS representation

Common representation rules require different signer combinations

Rejestr360 organises the rule disclosed in KRS, but for an important transaction you should still verify the current KRS extract and the full original Polish wording.

Single-person

One authorised person

If KRS provides for single-person representation, one person holding the relevant role may be sufficient under the disclosed rule.

Joint

Two people acting together

Example: two management-board members acting jointly. Verify that both people currently hold roles that match the rule.

Mixed

Board member and proxy

Some rules allow a management-board member to sign together with a proxy. The type of proxy authority may also matter.

How it works in an example

If the KRS rule says that two management-board members act jointly, Rejestr360 can show example person combinations that fit that rule.
